Disc Golf Billings Bylaws - February 25th 2024

Article I: Name of Organization

• The club shall be known as “Disc Golf Billings”.

Article II: Purpose

• Disc Golf Billings (DGB) is dedicated to serving its members and the local disc golf community. Our focus is on organizing both sanctioned and unsanctioned leagues, tournaments, and public disc golf events, including charity functions and volunteer work. We are committed to fostering the growth of disc golf locally by supporting our community and the courses we play.

Article III: Membership

• Open to anyone who participates in DGB events, with annual dues of $20, subject to change by member vote. Members have the right to one vote in club decisions, either in person or through a designated representative.

Article IV: Board of Directors

• The Board of Directors consists of the President, Vice President, Secretary, Treasurer, and any at-large members serving two year terms . They manage the club's affairs and are required to attend at least six (6) Board meetings per year.

Article V: Officers

• The President leads meetings and oversees club activities. 
• The Vice-President performs the duties of the President during their absence. 
• The Secretary handles communication and record-keeping. 
• The Treasurer manages financial matters.

Article VI: Meetings

• Two general member meetings per year, chaired by the president or a designated representative, with additional meetings called by the President as needed. Decisions are made by a simple majority of members present.
• Board meetings are scheduled for one day per month, with additional meetings called as necessary by the President.

Article VII: Meeting Procedure

• Meetings are chaired by the President or a designated chairperson, who is also responsible for setting the agenda. Proposed agenda items must be received in advance.
• Meetings are conducted informally yet orderly, ensuring participation from all members.

Article VIII: Committees

• The Board may form committees for specific purposes as needed.

Article IX: Record Keeping

• The club will maintain basic financial and meeting records for transparency and accountability.
• The club will ensure all necessary filings are completed and kept current to remain in compliance with government regulations.

Article X: Club Endeavors and Member Benefits

• DGB engages in activities such as selling memberships, merchandise, and soliciting sponsorships to support events and initiatives. All funds raised are directed back to the club for social and recreational activities.
• No individual's personal interests benefit financially from club activities. Endeavors and benefits are managed equitably, ensuring equal access for all members.

Article XI: Nomination and Election of Board Members

• Nominations for board positions are open to club members, who may nominate themselves. Submissions should be directed to the Board of Directors. The Board evaluates nominees to confirm they are capable of effectively serving our community and are well-suited for a role on the Board.
• Elections for two year terms are held annually at a designated general member meeting. Each member in good standing is entitled to one vote. Candidates receiving approval of two-thirds the membership are elected to their respective positions. 
• A transition period follows the election, during which outgoing board members collaborate with newly elected members to ensure a smooth handover of responsibilities.
• A board member may be removed from their position at any time by a majority vote of current board members.

Article XII: Amendments

• Bylaws can be amended by a two-thirds majority vote of the Board of Directors, provided board members are notified of proposed changes at least 7 days in advance.
• These bylaws were adopted by the Board of Directors on February 25th 2024.
• Any amendments to these bylaws will be recorded in this section, noting the date of the amendment and a brief description of the changes made.
